Sales terms for buyers and creators

Part 1: Terms of Sale – Buyers
1. Purpose
These Terms of Sale (ToS) are intended to govern the conditions under which buyer users (hereinafter "Buyers") purchase digital content (guides, address lists, itineraries...) published by creators on the spotli.st platform.
Spotli.st connects creators (sellers) and buyers, but does not sell the content.
Creators are legally considered as sellers.
2. Nature of Content Sold
Content sold on spotli.st is exclusively dematerialized digital content, accessible immediately after payment, such as:
- travel guides
- address lists
- personalized maps
- recommendations, itineraries, digital files
This content does not involve any physical shipment.
3. Prices
Content prices are displayed in euros (€) and may or may not include VAT depending on the creator's location, in accordance with tax regulations applicable in the European Union and outside the EU.
The spotli.st platform applies a 10% commission on the amount of each sale (see Creator ToS). This commission does not affect the price displayed to the buyer.
4. Payment
Payments are made via Stripe and its secure payment solutions.
Accepted payment methods may include:
- credit cards (Visa, Mastercard, etc.)
- Apple Pay / Google Pay (depending on availability)
- other methods supported by Stripe
The Company does not store any banking data.
5. Content Delivery
After payment validation, the buyer immediately accesses their content via their spotli.st account.
The content is considered delivered immediately, and the buyer can:
- view the guide
- download the file (if offered)
- access from their user space
6. No Right of Withdrawal
In accordance with Article L221-28 of the Consumer Code:
The right of withdrawal does not apply to digital content provided immediately after purchase and whose execution has begun after the buyer's prior agreement.
Thus, the buyer explicitly acknowledges, at the time of purchase, that:
- the content is available immediately;
- they expressly waive their right of withdrawal.
No refund can be requested for this reason.
7. Refunds & Claims
Since spotli.st acts as an intermediary, creators are legally responsible for the content they sell.
The buyer may request a refund in the following cases:
- fraudulent content;
- manifestly empty or unfit content;
- major non-conformity.
Procedure:
- The buyer contacts spotli.st support.
- The platform contacts the creator.
- The creator decides on the refund, in accordance with Stripe rules.
⚠️ Spotli.st may intervene in case of manifest abuse, fraud, or unresolved dispute.
8. Liability
Spotli.st is not responsible for:
- the accuracy of information contained in guides,
- errors or omissions by creators,
- losses or damages resulting from the use of content,
- unavailabilities related to external providers (Stripe, host...).
The buyer acknowledges that content sold is based on creators' personal experience.
9. Confidentiality & Access
Access to purchased content is strictly personal.
The buyer agrees not to:
- share purchased content;
- resell them;
- distribute them publicly.
Any violation may result in account suspension.
10. Price Modification
Creators may modify their prices at any time.
Applicable prices are those displayed at the time of purchase.
11. Applicable Law (Buyers)
Buyer ToS are subject to French law.
In case of dispute, an amicable resolution will be prioritized before any legal action.
Part 2: Terms of Sale – Creators / Sellers
1. Purpose
These Terms of Sale for Creators (Creator ToS) define the rules applicable to creator users (hereinafter "Creators") publishing and selling digital content on spotli.st.
spotli.st acts as a technical intermediary via Stripe Connect Express.
Creators are legally considered as sellers to buyers.
2. Creator Status
By publishing paid content on the platform, the Creator acknowledges:
- being a professional seller or independent seller according to their situation;
- being solely responsible for the content sold;
- being responsible for tax, legal and accounting compliance of their income.
MBEN DEV is not responsible for the Creator's tax situation.
3. Content Sold
Creators may publish:
- travel guides;
- address lists;
- digital files;
- personalized maps, recommendations, itineraries...
The Creator guarantees that:
- they have the necessary rights to sell this content;
- the content does not violate any copyright, image rights, moral rights, private data, or any law;
- the content does not entirely reproduce sources without sufficient transformation.
Illegal, copied, or misleading content may be removed without notice.
4. Prices and VAT
The Creator freely sets the price of their content.
VAT (important)
Depending on the Creator's and Buyer's location:
- Stripe automatically applies applicable VAT rules (OSS, EU VAT, outside EU).
- The Creator remains responsible for declaring their income.
5. Payments & Transfers (Stripe Connect Express)
Payments are managed via Stripe Connect Express.
Operation:
- The buyer pays via Stripe.
- The platform applies a 10% commission.
- The remainder is automatically paid to the Creator.
- Stripe manages the transfer schedule (generally 7 to 14 days).
Spotli.st never holds the funds.
6. Platform Commission
The platform charges a fixed commission of 10% on each sale.
This commission includes:
- service fees;
- platform maintenance;
- Stripe Connect costs;
- basic technical support.
The commission is automatically deducted before payment to the Creator.
7. Refunds and Disputes
Since the Creator is the seller, they assume responsibility for sales.
In case of dispute or refund request:
- The Creator is responsible for accepting or refusing a refund.
- Stripe allows refunds according to Stripe Connect rules.
- Spotli.st may intervene to arbitrate in case of manifest fraud or abuse.
The Creator agrees to:
- handle requests reasonably and professionally;
- avoid misleading content;
- refund if content is empty, fraudulent, or non-conforming.
Spotli.st may issue a refund on behalf of the Creator in case of manifest abuse, which may result in sanctions (account deletion).
8. Creator Prohibitions
The Creator is prohibited from:
- publishing entirely copied content;
- adding false information;
- using third-party content without authorization;
- manipulating sales;
- creating multiple fraudulent accounts.
9. Rights Granted to the Platform
By publishing content, the Creator grants spotli.st a non-exclusive worldwide license allowing:
- content hosting;
- display on the platform;
- promotion (examples, thumbnails, excerpts);
- use for technical testing.
This license ends when the Creator deletes their content.
10. Content Removal
Spotli.st may remove content if it:
- violates the ToU/ToS;
- infringes copyrights;
- is deemed dangerous, fraudulent, hateful or illegal;
- causes an abnormal rate of disputes.
In serious cases, the Creator account may be suspended or deleted.
11. Creator Liability
The Creator is responsible for:
- the quality of published content;
- the accuracy of information;
- compliance with applicable laws;
- their tax and legal situation;
- any refunds;
- disputes related to their content.
Spotli.st cannot be held responsible for damages related to Creator content.
12. ToS Modification
Spotli.st may modify these ToS at any time.
Active Creators will be informed in case of major modification.
13. Applicable Law (Creators)
These Creator ToS are subject to French law.
In case of dispute, an amicable resolution will be prioritized before any legal action.
